Sets up the Company's Vigil Mechanism under Section 177 of the Companies Act, 2013, giving employees, directors, vendors, and consultants a protected channel to report genuine concerns — fraud, misuse of authority, rule violations, or safety hazards — directly to the nominated Vigilance Officer.
Complaints are submitted in writing to the Vigilance Officer (or, if the Vigilance Officer is the subject, to the alternate Director), investigated within 90 days, and kept strictly confidential. The policy protects whistleblowers against retaliation, transfer, or disciplinary action, and complaint records are retained for 5 years.
Covers the integrated risk framework across the Company's real estate and aviation operations — risk identification, assessment (likelihood & impact), mitigation, and periodic monitoring — to protect asset value and ensure regulatory compliance (DGCA, FAA, EASA, ICAO).
Addresses vacancy, tenancy, political/regulatory, natural & security, property maintenance, aviation operational & safety, and financial/market risks, each with defined mitigating actions. Oversight sits with the Board of Directors; Senior Management, Legal & Compliance, Finance, and Operations teams execute and monitor the controls.
